1. Introduction

1.1 These website terms of use ("Website Terms") govern your access to and use of www.ev.energy and all associated subdomains and territory versions (together, the "Site"). The Site is owned and operated by EV Dot Energy Limited, a company registered in England and Wales with company number 11468310, whose registered office is at 66 Paul Street, London, EC2A 4NE, United Kingdom ("ev.energy", "we", "us", or "our").

1.2 The Site is made available to visitors worldwide. By accessing or using the Site, you agree to be bound by these Website Terms. If you do not agree, you must stop using the Site.

1.3 These Website Terms apply to your use of the Site itself. They do not apply to:

(a) your use of the ev.energy mobile application or your ev.energy driver account, which are governed by our Driver / App Terms of Service; or

(b) any separate commercial agreement entered into between you (or your organisation) and ev.energy or any of its affiliates, including EV Energy Corp, our US subsidiary.

Where there is any conflict between these Website Terms and a document referred to in 1.3(a) or (b), that other document takes priority for the matter it covers.

2. Who we are

2.1 EV Dot Energy Limited is the parent company of the ev.energy group. EV Energy Corp, a company incorporated in Delaware, United States, is a wholly owned subsidiary of EV Dot Energy Limited and operates in the US and Canadian markets.

2.2 References on the Site, and in these Website Terms, to "ev.energy," "we," "us," or "our" refer to EV Dot Energy Limited and, where the context requires (for example, in relation to services delivered to US or Canadian customers), its affiliates including EV Energy Corp. Nothing in these Website Terms creates a contractual relationship between you and any ev.energy group company other than EV Dot Energy Limited, save where a separate agreement expressly says otherwise.

3. Who this site is for

3.1 The Site is structured for two types of visitor, and different parts of section 4 apply depending on which describes you:

(a) Business visitors (representatives of utilities, energy retailers, OEMs, charge point operators, or other organisations browsing product, platform, or partnership content, or submitting an enquiry or demo request); and

(b) Consumer / prospective driver visitors (individuals browsing information about the ev.energy app and driver proposition, whether or not they go on to download the app).

3.2 You must be at least 18 years old, or the age of legal capacity in your jurisdiction if higher, to use the Site. If you are under that age, please do not submit any information to us via the Site without the involvement of a parent or guardian.

4. Use of the site

4.1 General

You may use the Site only for lawful purposes and in accordance with these Website Terms. You must not:

(a) use the Site in any way that breaches any applicable local, national, or international law or regulation;

(b) attempt to gain unauthorised access to the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site;

(c) use any automated system, including "robots," "spiders," or "offline readers," to access the Site in a manner that sends more request messages than a human can reasonably produce in the same period, except in accordance with our published robots.txt;

(d) introduce any virus, trojan, worm, or other material that is malicious or technologically harmful; or

(e) copy, reproduce, republish, or exploit any part of the Site for commercial purposes without our prior written consent, except as expressly permitted under section 5.

4.2 Business enquiries

4.2.1 Where you submit an enquiry, request a demo, or otherwise contact us as a Business visitor, that submission is an expression of interest only. It does not create any binding obligation on ev.energy to provide any product, service, or proposal, and does not itself create a contractual relationship between you and any ev.energy group entity.

4.2.2 Any resulting commercial relationship, including pricing, service levels, data processing terms, and the identity of the contracting ev.energy entity (which may be EV Dot Energy Limited, EV Energy Corp, or another affiliate depending on your location), will be set out in a separate, signed agreement. These Website Terms do not govern that relationship.

4.3 Consumer / prospective driver visitors

4.3.1 Content on the Site describing the ev.energy app, driver rewards, or charging programs is provided for general information only and does not constitute an offer capable of acceptance, nor a binding commitment as to the availability, features, or pricing of any product in your location.

4.3.2 Browsing the Site does not create a driver account or any service relationship. If you download the app and create an account, your use of the app and the Service is governed exclusively by the Driver / App Terms of Service and our Privacy Policy, both of which you will be asked to accept separately.

5. Intellectual property rights

5.1 Unless otherwise indicated, all intellectual property rights in the Site and its content, including text, graphics, logos, the ev.energy name and brand, product names, images, video, software, and the design and "look and feel" of the Site, are owned by, or licensed to, EV Dot Energy Limited as the ev.energy group's parent company, and are protected by copyright, trademark, and other intellectual property laws.

5.2 You may view, download, and print extracts from the Site for your own personal, non-commercial use, or, where you are a Business visitor, for internal evaluation purposes connected with a genuine enquiry, provided that:

(a) no documents or related graphics are modified in any way;

(b) no graphics are used separately from accompanying text; and

(c) our copyright and trademark notices, and this permissions notice, appear in all copies and their source is acknowledged.

5.3 You must not otherwise reproduce, modify, distribute, or use any content from the Site, or any ev.energy trademark or logo, without our prior written consent. Nothing in these Website Terms grants you any licence or right in respect of any intellectual property of ev.energy, EV Energy Corp, or any third party except as expressly stated.

6. Content you submit

6.1 If you submit any content to us through the Site (for example, via a contact form, feedback tool, or job application), you confirm that you have the right to submit it and that it does not infringe any third party's rights or applicable law.

6.2 Where you submit feedback, ideas, or suggestions about our products or services (other than personal data, which is handled under our Privacy Policy), you agree that we may use that feedback without restriction or obligation to you, including to develop or improve our products.

7. Links to other websites

7.1 The Site may contain links to third-party websites or resources, including partner sites, app stores, and social media. These links are provided for your convenience only.

7.2 We have no control over, and accept no responsibility for, the content, accuracy, or practices of any third-party website. Inclusion of a link does not imply our endorsement of that site. You access any third-party website entirely at your own risk and should review its own terms and privacy policy.

8. Privacy and cookies

8.1 Our collection and use of personal data through the Site is described in our Privacy Policy. Our use of cookies and similar technologies on the Site is described in our Cookie Policy.

8.2 By using the Site, you acknowledge that your personal data will be processed as described in those policies.

9. Availability and changes to the site

9.1 We aim to keep the Site available at all times but do not guarantee that it will be uninterrupted, timely, secure, or error-free, and we accept no liability for any unavailability of the Site.

9.2 We may update, amend, suspend, or withdraw the Site, or any content on it, at any time without notice, including to reflect changes to our products, services, brand, or corporate structure.

10. Disclaimers

10.1 The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to the Site and its content, whether express or implied, including as to accuracy, completeness, or fitness for a particular purpose.

10.2 Nothing on the Site constitutes advice on which you should rely. You should obtain independent advice before making any decision or taking any action on the basis of content found on the Site.

11. Limitation of liability

11.1 To the fullest extent permitted by applicable law, ev.energy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Site.

11.2 Nothing in these Website Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under applicable law. If you are a consumer, nothing in these Website Terms affects any statutory rights you may have that cannot be excluded, and those rights take priority over any conflicting provision here.

11.3 Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities, so some of the exclusions in this section may not apply to you.

12. Indemnity

You agree to indemnify and hold harmless EV Dot Energy Limited and its affiliates, and their respective directors, employees, and agents, from and against any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Website Terms or your misuse of the Site.

13. Governing law and jurisdiction

13.1 These Website Terms, and any dispute or claim arising out of or in connection with them or the Site, are governed by the laws of England and Wales.

13.2 The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Website Terms, save that if you are a consumer resident in the European Union or elsewhere, and mandatory local consumer protection law gives you the right to bring proceedings in the courts of your own country of residence, nothing in this clause takes that right away.

14. General

14.1 Entire agreement. These Website Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us relating to your use of the Site, and supersede any prior agreement relating to the Site.

14.2 Severability. If any provision of these Website Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 No waiver. Our failure to enforce any right or provision of these Website Terms will not be treated as a waiver of that right or provision.

14.4 Assignment. We may transfer our rights and obligations under these Website Terms to another entity, including in connection with a group reorganisation, merger, or sale, without your consent, provided this does not materially reduce your rights.

We may revise these Website Terms at any time by updating this page. Material changes will be indicated by an updated "Last updated" date. Your continued use of the Site after any change constitutes your acceptance of the revised Website Terms.
