Terms and Conditions 1.
Pilot Program.
SVCE has launched an innovation pilot partnership program called Innovation Onramp in order to facilitate and support innovative research and the evaluation, testing, and implementation of innovative, emerging technologies and ideas, with the goal of accelerating decarbonization. This limited pilot program GridShift: EV Charging (“Pilot Program”) will test a managed electric vehicle (“EV”) charging service for SVCE residential customers who drive EVs that they charge at their residence within SVCE’s service territory. Participants will not receive payment or compensation for their participation in the Pilot Program. SVCE may establish a long-term program based on the results of this Pilot Program.
2. Disclaimer.
This Pilot Program is experimental and SVCE makes no representations or warranties as to the effectiveness of the charging service to reduce Participant’s charging costs or reduce emissions. Further, SVCE makes no representations, express or implied, regarding the reliability, performance, or operation of the charging system.
3. Term.
The term (“Term”) of the Pilot Program is six (6) months, concluding in April 2021. SVCE desires that Participants complete the full Term of the Pilot Program; however, SVCE may remove Participants from the Pilot Program if a Participant no longer meets the eligibility requirements set forth in the participant agreement (“Agreement”) executed and submitted to SVCE. Participants may choose to leave the Pilot Program for any reason at any time by disabling the Application described in Section 6 below; however, SVCE requests and encourages the Participant provide notice to SVCE and ev.energy of such termination by writing to gridshiftev@svcleanenergy.org and support@ev.energy, respectively. SVCE reserves the right to modify or terminate this Pilot Program, in whole or in part, at any time and for any reason without prior notice.
4. Participant Requirements.
Participant acknowledges and confirms that the responses provided in the full pilot participation agreement (anticipated vehicle mileage, charging equipment) remain accurate through the Term of the Pilot Program. In addition, Participants may not be enrolled in or participate in any PG&E or other third-party demand response (“DR”) program during the Term of this Pilot Program.
5. Indemnification.

ev.energy Terms of Use and Privacy Policy.In order to participate in the Pilot Program, Participant must download and use an application developed by ev.energy (“Application”). Participant must agree to the Terms of Service and Privacy Policy of ev.energy in order to use the Application. The policies may be found at https://ev.energy/us-terms-of-use/ and https://ev.energy/privacy-policy/ and may be updated from time to time. The Application is owned and operated by ev.energy. SVCE makes no representations or warranties regarding the Application and disclaims all liability resulting from Participants use of Application
7.
Collection and Use of Participant Data.Participant consents to ev.energy accessing and using Participant’s utility and billing data from the Data Hive for purposes of conducting the Pilot Program. Additionally, Participant acknowledges that ev.energy will also have access to telematics data from the Participant’s vehicle, including but not limited to energy and charge reporting, GPS vehicle tracking, and similar data and Participant consents to ev.energy’s access to such information. Such data may be accessed by SVCE and used by SVCE to analyze the Pilot Program and plan future programs.
8.
Participant Feedback and Data Collection.Participant will cooperate in good faith with SVCE or its authorized representative in performing evaluation, measurement, and verification (EM&V) of the Pilot Program. SVCE will use data collected from Participants to evaluate the Pilot Program and for future planning purposes, including, but not limited to, assessing user experience, measuring potential retail bill savings to customers, avoiding energy supply costs to SVCE, and reducing emissions. Additionally, SVCE may request that Participants complete surveys during and after the conclusion of the Pilot Program. SVCE may use and publicize quotes from Participant surveys in promotional materials.
9. Assignment.The Agreement is personal to Participant. Participant may not assign or transfer rights or delegate obligations under this Agreement.

Amendment or Modification. The Agreement may not be amended or modified except by a written amendment signed by both parties.

Law and Venue. The Agreement shall be interpreted and enforced in accordance with the laws of the State of California, with venue in Santa Clara County, without reference to its principles on conflicts of laws.
